United Cooperative Assurance Co.’s (UCA) shareholders will vote on the board as well as auditor’s reports and financial statements for 2021, during the ordinary general meeting (OGM) slated for June 28, the company said in a bourse filing.
Shareholders will also discharge the board members from liability for 2021 and appoint a new auditor to review financials for Q2, Q3, Q4 2022 and Q1 2023.
They will further vote on the disbursement of SAR 1.8 million in board remuneration for the last year.
Additionally, shareholders will vote on ratifying the business contracts that will take place between the company and other institutions.
Shareholders will also discuss the appointment of Khalid Alqazlan as an independent board member starting Nov. 17, 2021, until the end of the current board term on Jan. 12, 2024.
Furthermore, they will discuss amending the company’s corporate governance and audit committee charters, conflict of interest policy, remuneration and compensation policy related to board members and the executive management, in addition to the nominations and remuneration committee charter.
