Red Sea International Co. announced the decision by the board of directors for the formation of the new board and its sub-committees, according to a bourse statement.
The decision includes:-
Appointment of Amr Abdullah Al-Dabbagh (non-executive member) as the chairman of the board.
Appointment of Sami Ahmed Binmahfooz (non-executive member) as the vice chairman.
Appointment of Khalid Mohammed Fagih (executive member) as the managing director and CEO.
Formation of the executive committee, chaired by Amr Abdullah Al-Dabbagh, and membership of Sami Ahmed Binmahfooz, Khalid Mohammed Fagih, Taher Mohammed O. Agueel, and Osama Zakaria Jamjoom (independent).
Formation of the nomination and compensation committee, chaired by Mohammed Zaher Al-Munajjed (independent), and membership of Sami Ahmed Binmahfooz and Mohamed Husnee Jazeel (external).
As per the results of the extraordinary general meeting (EGM) convened on May 2, 2021, shareholders approved the appointment of audit committee members, and the appointment of Sami Ahmed Binmahfooz as the chairman.
Appointment of the board secretary and company representatives before the Capital Market Authority (CMA), Tadawul, Edaa, in relation to the implementation of all related rules and regulations.
According to data compiled by Argaam, shareholders elected board members for the new three-year term, started May 10, 2021, during the EGM held on May 2, 2021.
